C-TV Technology A / S
Unless there is another written agreement, C-TV Technology A / S (C-TV) delivers all deliveries on the following terms, regardless of any opposing or deviating provisions in the order or acceptance given by the buyer.
1. Offer and acceptance:
Both oral and written offers from C-TV must be accepted no later than 8 days after the offer is submitted, unless another acceptance deadline appears in the offer. C-TV can cancel a previously confirmed order if the buyer has an unresolved financial balance with C-TV.
2. Delivery:
Delivery takes place ex-factory, so that the buyer bears the risk of any accidental event of any kind that hits the item thereafter. This applies regardless of whether C-TV, by agreement, bears the costs of transporting the goods. The buyer must take care of any insurance against damage that hits the item after delivery. C-TV reserves the right to make partial deliveries, unless otherwise agreed at the time of purchase.
3. Price:
Current list price. C-TV reserves the right to make changes regardless of the reason and without prior notice. All prices are excl. VAT.
4. Payment:
In accordance with the agreement as stated on the front page of the offer, order confirmation and invoice (currently 8 days net) After the due date, interest is charged as stated on the offer, order confirmation or invoice.
5. Shipping fee:
C-TV has no handling fee for orders.
6. Packaging:
Packaging is invoiced separately (currently DKK 50 per package). Disposable packaging is not returned.
7. Delivery times:
The delivery time is determined as far as possible according to the buyer's wishes. C-TV undertakes no obligation to exactly comply with stated delivery times. The delivery time is determined subject to the fact that strike, lockout, fire or other force majeure does not prevent delivery at the agreed time, and that this is not prevented by delay of necessary deliveries or unforeseen delay in manufacture. In the event of a delay, the buyer is not entitled to exercise the powers of default. The buyer is thus, for example, not entitled to cancel the purchase, demand compensation or a proportionate reduction in the purchase price.
8. Return:
Delivered stock items are only returned by prior arrangement and a copy of the delivery note is attached. Crediting is done with 80% of the invoiced value. However, this presupposes that the goods are current - including that the sales packaging is not damaged - and that delivery took place less than 6 months ago. For items returned without prior agreement, receipt is denied. Return costs are borne by the buyer. Specially processed items and specially procured goods are not returned.
9. Retention of title:
The ownership of the item for sale remains with C-TV until the entire purchase price with interest, costs, etc. is fully paid.
10. Missing:
If the product or parts thereof are defective due to material defects, manufacturing defects or C-TV's defective work, C-TV provides compensation corresponding to the invoiced price of the product for a 12-month period from the day of delivery or makes free replacement or repair of the product or parts of which at C-TV's choice. C-TV's liability is expressly limited to a replacement or replacement or repair listed above, and C-TV cannot be held liable for direct or indirect damages or losses, including operating losses, loss of profit, loss of time and the like. In C-TV's sales material, the purposes for which the individual product is usable are stated. If the product in question is used for other purposes, or if it is exposed to influences that are not stated in the sales material, C-TV is completely irresponsible. C-TV ansvar's above-mentioned responsibility is conditional on advertising immediately after finding a fault.
11. Complaint:
It is the buyer's at the latest upon receipt to make a thorough examination of whether the item is contractual. Any complaints about delivered goods must be made immediately and no later than 8 days after delivery from C-TV.
12. Cancellation of orders:
Buyer's request for cancellation of orders must be notified to C-TV in writing. In the case of goods that C-TV does not normally stock, cancellation cannot take place unless C-TV's written consent is given. The buyer is invoiced for shipping costs and 20% of the value of the item.
13. Product liability:
C-TV is only liable for personal injury if it is proven that the damage is due to fault or negligence committed by C-TV or others for whom CTV is responsible. Compensation can never exceed the level of compensation applicable under Danish law at any time. C-TV is not responsible for damage to real estate and movables that occurs while the item for sale is in the possession of the buyer. C-TV is also not liable for damage to products manufactured by the buyer or to products in which these are included. In other respects, C-TV is liable for damage to real property and movable property on the same terms as for personal injury, however, C-TV samlede's total liability can never exceed DKK 1,000,000, - incl. rincl. interest and costs per. damage. C-TV is not liable for indirect damages and losses such as operating losses, profit losses and other indirect losses. To the extent that C-TV is imposed product liability to third parties, the buyer is obliged to indemnify C-TV to the same extent as C-TV's liability is limited under these terms of sale and delivery. If a third party makes a claim against one of the parties for liability under this clause, that party shall immediately notify the other. C-TV and the buyer are mutually obligated to sue in the court hearing claims for damages brought against one of them on the basis of damage allegedly caused by the item for sale. SPECIAL RELINING CONSUMABLES and Dot-Liner. Relining consumables are considered raw materials to be processed by the craftsman himself, it is therefore the end user who performs the relining to check the liner and calibration hose himself, before commissioning and assess whether the delivered goods can be used for each task, C-TV or its dealer can not in any way be held responsible for the finished relining.
14. Venue:
In case of disagreement between the parties, the dispute must be decided in accordance with Danish law by the Court in Aalborg.
